How to start a business corporation about Preparing Articles of Incorporation

The Articles of Incorporation document is important because it is the basis for the registration of the corporation with a state. Often an incorporator will prepare and file the Articles of incorporation.

What to Include in the Articles of Incorporation
Each state has different requirements for the format of Articles of Incorporation, but you will probably see these sections:

Name of the corporation. In most states, you must use an appropriate corporate designator (like “Inc.," "corporation”, "incorporated”, “limited”)

Address of the corporation (place where the registered agent can be found

If the corporation is a stock corporation, the aggregate number of shares authorized.

The date of incorporation
There may be other requirements for your state, so be sure to check before you file.

Where to File
The Articles of Incorporation should be sent to your state's secretary of state, along with the required fee for incorporation.

Can You File By Yourself?
You can file the Articles of Incorporation yourself, but you may want to have an attorney review them or do the filing for you, to make certain that everything is filed correctly.
